1.1 These Terms and Conditions (“Terms”) govern your access to and use of Pass and apply to all individuals who create or use a Pass (“you”, “your”, or “Owner”). These Terms govern your use of Pass within digital applications and services, whether operated by us or third parties, that have integrated Pass functionality (“Experiences”).
1.2 By creating or using a Pass, or by accessing any website or application that references these Terms, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. If you do not agree to these Terms, you must not access or use Pass.
1.3 In these Terms, references to “we”, “us” and “our” mean Futureverse Corporation Limited, a company incorporated in New Zealand with its registered office at 17 South Street, Newton, Auckland 1010, New Zealand.
1.4 Pass is a continually evolving service. Certain features described in these Terms may be in development or testing and may not be available to all Owners or in all Experiences.
1.5 We may amend, update, or replace these Terms at any time by publishing a revised version on the Website or App. Unless otherwise stated, the revised Terms shall take effect upon publication. We are not obliged to notify you of changes. You are responsible for reviewing the most recent version of the Terms periodically. Your continued access to or use of Pass following any update will constitute your acceptance of the revised Terms. If you do not accept the revised Terms, you must immediately cease using Pass.
Custodial means a type of digital wallet in which the private keys are held and controlled by a third party on behalf of the user.
Experience means any metaverse, web3, or other digital experience or application (App), whether operated by us or a third party, that has integrated Pass for identity or digital asset management purposes.
Pass means an on-chain identity contract that allows users to access and interact and transact with Experiences. A Pass is accessed by demonstrating control of a Permissioned Wallet.
Non-Custodial means a type of digital wallet in which the private keys are solely held and controlled by the user.
Permissioned Wallet means a Custodial or Non-Custodial wallet that has been granted specific Permissions to access and/or interact with a Pass, including but not limited to any designated Primary Wallet(s).
Permissions means the specific authorisations or restrictions granted to a Permissioned Wallet in relation to a Pass, including the ability to:
Available Permissions may vary depending on the type of Permissioned Wallet and the specific Experience.
Primary Wallet means the main Custodial or Non-Custodial Permissioned Wallet designated to control and access a Pass.
Vault means the secure encrypted environment operated by us for the storage of private key pairs associated with Custodial Permissioned Wallets.
Profile (or Profiles) means a user-generated representation associated with a Pass, which may include a display name, unique handle, and avatar. Profile data does not constitute personally identifiable information (PII) unless the user voluntarily includes such information.
3.1. Each Pass is limited to one identity (i.e., one Pass Holder). The Pass Holder must validly own or have the legal right to use their Primary Wallet.
3.2 You may only hold one (1) Pass. That means you can only create one (1) Pass per person.

You also agree to provide any additional information we may reasonably request from time to time (e.g., to meet legal or compliance requirements).
You are responsible for maintaining the security of your Pass. You must not share access to your Primary Wallet(s) with anyone else.
Provided we have met our obligations in relation to any Custodial Primary Wallet(s), you accept all risks associated with any unauthorized access to, or use of, your Pass—including any resulting actions or transactions.
5.1 Custodial Primary Wallet(s):
Where your Pass is associated with a Custodial Primary Wallet, the private key(s) for that wallet are created, encrypted, and securely stored in the Vault. You may manage or update your Primary Wallet(s) and associated Profiles through Experiences.
5.2 Non-Custodial Primary Wallet(s):
Where your Pass is associated with a Non-Custodial Primary Wallet, you retain sole control over the private key(s) and bear full responsibility for securing access to your Pass.
Pass security protocols may change based on any updates you make- such as switching between Custodial and Non-Custodial Primary Wallets or modifying your Permissioned Wallets. It is your responsibility to stay informed of these changes and ensure your Pass remains secure.
6.1 You may use your Pass and grant Permissions to any Experience(s), including both Futureverse and third-party Experiences.
6.2 By using your Pass in any third-party Experience (i.e., an Experience not operated by Futureverse) or by granting Permissions to any Permissioned Wallet(s), you acknowledge and agree that:
6.3 If you use your Pass in any Futureverse-operated Experience, and there is any inconsistency between these Terms and the specific terms and conditions applicable to that Experience, the Experience-specific terms and conditions will prevail to the extent of the inconsistency.
7.1 You are in control of your Pass, how it is used, and how it interacts on-chain with Experiences and Permissioned Wallets, subject to applicable laws and these Terms.
7.2 Futureverse provides the interface that enables you to create your on-chain identity (Pass). Once your Pass is created, Futureverse can only interact with it in accordance with the relevant Permissions granted for use in Experiences.
A Profile is a user-created representation linked to a Pass account, which can be used across various Experiences. You may have multiple Profiles under a single Pass. Profiles may include data such as display names, handles, avatars, and additional metadata, and can be accessed and modified within each Experience that supports the Pass product.

You acknowledge and confirm that the use of your Pass may be subject to applicable laws in addition to these Terms. You represent and warrant that your use of the Pass will, at all times:
You are not required to pay any fees to create a Pass. However, you are solely responsible and liable for any fees, costs, expenses, gas fees, or other liabilities incurred as a result of your Pass activity.
There are inherent risks associated with transactions and activity conducted using your Pass. You acknowledge and accept these risks. For more information, please refer to our Risk Disclosure Statement.
11.1 Deactivation
You may request to deactivate your Pass at any time by emailing support@futureverse.com. Once all Permissions are removed or revoked, you will no longer be able to access your Pass.
11.2 Effect of Deactivation
Deactivating your Pass will permanently remove your access to all Experiences and any associated data, assets, Profiles, and Permissions linked to your Pass. This action cannot be undone. You acknowledge and agree that:

By creating and using a Pass, you acknowledge and consent to Futureverse and Experiences collecting, storing, and using any personal information associated with your Pass in accordance with our Privacy Policy. This includes processing such information as required to fulfil the Permissions granted to us and to enable your participation in Experiences.
We do not knowingly collect personal information from children. If you are a parent or guardian and believe that your minor child has provided us with personal information without your consent, please contact us at privacy@futureverse.com. We will take appropriate steps to delete such information from our systems.
13.1 Subject to clauses 13.2 and 13.3, and to the extent permitted by law, Futureverse excludes all liability for any loss, costs, liabilities, expenses, and/or damages (including direct, indirect, incidental, consequential, or exemplary) arising from or in connection with your use of the Pass.
13.2 Nothing in these Terms limits or excludes any liability where such limitation or exclusion is not permitted by law.
13.3 If you are a “consumer” as defined in the Consumer Guarantees Act 1993 (CGA), nothing in these Terms limits or excludes your rights under the CGA.
14.1 Notices: Any notices will be deemed delivered to and received by you on the date they are issued to the Primary Wallet associated with your Pass.
14.2 Severability: If any provision of these Terms is held to be invalid or unenforceable by a competent authority, the remaining provisions will remain in full force and effect.
14.3 Waiver: Any failure to enforce a provision of these Terms will not constitute a waiver unless made in writing and signed by the party granting the waiver.
14.4 Translation: Where these Terms have been officially translated by Futureverse into other languages, the English version shall prevail in the event of any discrepancy and will be used to resolve questions of interpretation.
14.5 Governing Law: These Terms are governed by and construed in accordance with the laws of New Zealand.
